General Lumen Connect Terms and Conditions

1.  Acceptance and Binding Effect.

 

These General Lumen Connect Terms and Conditions, which may be referred to as Control Center or Portal Terms and Conditions or Terms, form an agreement by and between CenturyLink Communications, LLC d/b/a Lumen Technologies Group or its affiliated entities (“Lumen”) and Customer. By accepting these Terms or accessing Lumen Connect, Customer and its Authorized Users agree to be bound by these Terms and to the extent that these Terms are accepted  through a Lumen online acceptance tool, (a) Customer understands and intends that these Terms are a legally binding agreement ; (b) represents that they are authorized to bind Customer to any action taken by an Authorized User, including action that may result in additional charges; and (c) consents to the creation of an electronic record of these Terms and Customer’s acceptance of them. If Customer does not agree to these Terms, Customer may not access or use any part of Lumen Connect.  Lumen last modified these Terms on the version date listed above. 

 

Lumen may modify these Terms by posting a revised version on the Lumen website. The modified Terms will become effective as of the new version date listed above. By continuing to use or access any part of Lumen Connect after the version date of such modified Terms, Customer agrees to be bound by such modified terms. It is Customer’s responsibility to check regularly for modifications to these Terms. These Terms control over any previous portal terms accepted by Customer and its Authorized Users. Except with respect to the binding effect and Customer’s acceptance of these Terms, the Underlying Agreement controls with respect to the Service(s).

 

2. Definitions.

 

“Authorized User” is any individual a Customer enables access to Customer’s Lumen Connect account(s), whether an officer, director, employee, agent, contractor, subcontractor, or consultant of Customer, an affiliate of Customer or any third party. Customer is solely responsible for ensuring that each Authorized User’s access permissions are appropriate for, and limited to, the role and responsibilities assigned to that Authorized User by Customer. Customer remains fully responsible for any and all actions taken by Customer’s Authorized Users, including adding new or changing Services that may result in new charges.

“Customer” means the business entity who by accessing or using Lumen Connect in connection with either (1) an Underlying Agreement(s); or (2) another agreement that grants the entity certain rights or privileges related to Lumen customers.

“Lumen Connect” collectively means Lumen’s proprietary digital interface, including any tools and functionality made available through Lumen Connect.

“Lumen Connect Data” means Customer account data created or collected by Lumen in connection with Lumen’s provisioning of Lumen Services pursuant to the Underlying Agreement(s) and made available through Lumen Connect or any related features.

“Lumen Services” means services provided by Lumen to Customer pursuant to the Underlying Agreement(s); or support services as may be requested by an Authorized User from time to time, as identified in the Ancillary Fee Schedule located at http://www.lumen.com/ancillary-fees.

“Underlying Agreement(s)” means the Master Service Agreement, and/or other service agreement(s) between Lumen and Customer, including any orders or statements of work associated therewith, and the Service Schedule(s) applicable to such Lumen Services.

 

3. Lumen Connect Overview.

 

Lumen Connect provides Customer and Authorized Users with visibility into and control over aspects of certain Lumen Services via a graphical user interface. Lumen Connect enables Customer and its Authorized Users to electronically access and/or purchase, and manage Lumen Services and Lumen Connect Data, e.g., submitting, activating, and modifying orders, managing user permissions, and accessing and managing Lumen APIs or Lumen API Keys, as applicable. Use by Customer or Authorized Users of Lumen API’s, constitutes Customer’s and each Authorized User’s acceptance of the API Developer Center Terms of Use located at API Developer | Terms & Conditions | Lumen. Customer grants Lumen the right to view, use, copy, and transmit Lumen Connect Data and information obtained through Lumen’s provisioning of Lumen Connect. Customer must provide, at Customer’s expense, all communications services, equipment, and third party software necessary for Customer and its Authorized Users to use Lumen Connect and any applicable features. Customer agrees to promptly pay to Lumen any fees applicable to Customer’s and its Authorized Users’ use of Lumen Connect. As of the version date of these Terms, certain features of Lumen Connect are subject to additional fees. If and to the extent that Lumen provides service performance or other network monitoring information, such information is indicative only and will not necessarily be used to determine the applicability of service credits or other contract remedies. Lumen may change Lumen Connect and any features, functionality of and/or the information available through the portal in its sole and absolute discretion, including discontinuing any functionality or discontinuing Lumen Connect completely. Lumen may deny access to Lumen Connect and any features in its sole and absolute discretion, at any time and for any or no reason. Lumen has the right at any time to modify existing features and/or add new features, modify terms and conditions or add or change fees applicable to Customer’s use of Lumen Connect (collectively, “Revision”). Such Revision(s) will be effective immediately upon posting.

 

4. License.

 

Lumen grants to Customer and its Authorized Users a personal, non-exclusive, non-transferable, non-sublicenseable, limited, and revocable license to use Lumen Connect in accordance with these Terms. This license commences upon Customer’s acceptance of these Terms and remains in force until: (a) terminated upon 30 days written notice by either party to the other party; (b) terminated by Lumen without prior notice upon Customer’s breach of these Terms, the Underlying Agreement(s), or as otherwise permitted under these Terms; (c) the termination or expiration of all Underlying Agreement(s) which could utilize Lumen Connect; or (d) Lumen, at its sole discretion, elects to discontinue offering Lumen Connect or any features. Customer and its Authorized Users are expressly prohibited from: (a) using Lumen Connect of its features for any purpose other than Customer's own internal business purposes as reasonably intended under these Terms; (b) allowing anyone other than Customer's representatives and Authorized Users previously identified to Lumen to have access to Lumen Connect; (c) making copies of Lumen Connect documentation or the software or functionality underlying Lumen Connect or the Lumen website; (d) making any modifications, enhancements, adaptations, derivative works, or translations of Lumen Connect or any underlying software or associated functionality; or (e) attempting to reverse engineer, disassemble, reverse translate, customize, or decompile Lumen Connect or component software in order to misuse, manipulate, or use Lumen Connect or any of its features for purposes other than that for which it was intended, or derive the source code therefrom or for any other reason. Lumen reserves the right to seek all remedies available at law and in equity for any breach of these Terms, including the right to block Customer’s access to Lumen Connect or to suspend or terminate Lumen’s provision of Lumen Connect to Customer.

 

Customer will be responsible for all use of Customer’s account (whether or not under any screen name or user identification or password) and for ensuring that all use of Customer’s account complies fully with the provisions of these Terms. Customer is responsible for protecting the confidentiality of Customer’s and all Authorized Users’ passwords, user names, and other Customer specific access information. Customer is responsible for all activities and charges resulting from their use, including unauthorized use. Customer agrees to promptly notify Lumen of any unauthorized use or access to Lumen Connect.

 

Feedback. If Customer elects to communicate to Lumen suggestions about the products or Lumen Connect features or functionality (“Feedback”), Lumen will own all right, title and interest in and to the Feedback to the extent the Feedback does not include Customer Confidential information, even if Customer has designated the Feedback as confidential, and Lumen will be entitled to use the Feedback without restriction except that Lumen agrees the feedback will not be publicly associated with the Customer without the Customer’s explicit written consent. Customer irrevocably assigns all right, title, and interest in and to the Feedback to Lumen and agrees to provide Lumen such assistance as it may require to document, perfect and maintain Lumen’s rights to the Feedback.

 

5.  Access and Security.

 

5.1 Digital Service Activation and Ordering

 

If Customer or any Authorized User uses Lumen Connect to place orders for Lumen Services, or to add, activate, or modify Lumen Service(s), they do so per the terms of the applicable Underlying Agreement(s).

 

5.2 Lumen Connect Data.

 

In the course of providing Lumen Connect to Customer, the parties will have access to certain Lumen Connect Data (defined in Section 2 above). Customer will treat this information as confidential per the terms of the applicable Underlying Agreement. This information may be useful to tailor products and services to Customer’s needs and to enhance Lumen’s ability to meet Customer’s needs. By accepting these Terms, Customer expressly authorizes Lumen, its affiliates, or its agents, to use such information to determine if Customer could benefit from other services offered by Lumen, its affiliates, and its contractors, and market them to Customer via Lumen Connect or such other means as may be determined by Lumen. Customer may withdraw its authorization at any time by expressly telling Lumen and it will not affect the quality of Lumen Service provided to Customer.

 

5.3 Confidentiality.

 

Except as otherwise provided in these Terms, neither party will: (a) disclose any of these Terms to any third parties; or (b) disclose or use (except as expressly permitted by, or required to achieve the purposes of, these Terms) the confidential information received from the other party per the terms of the applicable Underlying Agreement(s). A party may disclose confidential information if required to do so by a governmental agency, by operation of law, or if necessary, in any proceeding to establish rights or obligations under these Terms or the Underlying Agreement(s). Each party will limit disclosure and access to confidential information to those of its employees, contractors, attorneys or other representatives who reasonably require such access to accomplish the purposes of these Terms and who are subject to confidentiality obligations at least as restrictive as those contained herein.

 

5.4 Information to be Shared with Authorized Third-Party Sales Agent.

 

In some, but not all circumstances, Customer may submit Customer orders through a third-party sales organization participating in Lumen’s indirect sales channel program (“Authorized Third-Party Sales Agent”). If Customer uses an Authorized Third-Party Sales Agent to procure a Lumen Service, Customer authorizes and directs Lumen to disclose Lumen Connect Data to the Authorized Third-Party Sales Agent.

 

5.5 Authorized Users.

 

Lumen Connect enables Customer to activate, modify, and deactivate Authorized User accounts and to configure permissions for each Authorized User. Customer may grant each Authorized User access to certain features, and other account tools and functionality made available electronically by Lumen. Customer may designate its employees, contractors, subcontractors, agents, consultants, affiliates, and third parties as Authorized Users, subject to these Terms. Lumen has no obligation to review, audit, or validate the permissions Customer assigns. Customer is responsible for the creation, configuration, and timely deactivation of all Authorized User accounts and for maintaining the confidentiality and security of all Customer login credentials. Each party will promptly notify the other party upon becoming aware of any unauthorized access or suspected compromise of any Lumen Connect account or Authorized User account.

 

If an Authorized User has been designated as the Delegated Administrator or Customer System Administrator, such Authorized User is responsible for setting up and keeping current all security and administration of Customer’s use of Lumen Connect, including but not limited to: (a) assigning each Authorized User a separate ID for entry into Lumen Connect; (b) assigning levels of permission for each Authorized User to ensure that each user only has access to those aspects of Lumen Connect features that it has authority to act for Customer; (c) ensuring users who should no longer have access are denied access to Lumen Connect; (d) vetting any end user to whom Customer has provided Lumen Connect access; and (e) ensuring that any Lumen Connect end user access provided is subject to confidentiality and other terms no less stringent than those set forth in these Terms.

 

Customer is solely responsible for all Authorized User activity, including adding and/or modifying or managing Services and associated charges.  Lumen is not responsible for any failures or interruptions of the Services due to activity arising from or resulting from action of Authorized Users.

 

5.6 Personal Information. 

 

Customer will provide Lumen with personal information as necessary to access and use Lumen Connect. As used herein, “personal information” means information relating to an identified or identifiable individual, including business contact information, and as may be defined under applicable privacy laws. Customer and its Authorized Users will at all times comply with all applicable privacy laws and regulations relating to any personal information provided in Lumen Connect or any features. Lumen will handle such personal information in accordance with the Lumen Privacy Notice. If Customer or any Authorized User provides personal information about individuals other than themselves to Lumen (e.g., coworkers’ contact information), such Customer or Authorized User represents and warrants that they are legally authorized to provide such information and that all such individuals have been directed to the Lumen Privacy Notice.

 

6. Intellectual Property Ownership; Use of Name and Marks.

 

Nothing in these Terms or the performance thereof will convey, license, or otherwise transfer any right, title, or interest in any intellectual property or other proprietary rights held by either party or its licensors. Neither party will use the name or marks of the other party or any of its affiliates for any purpose or issue any press release or public statement relating to these Terms without the other party’s prior written consent.

 

7. Limitations and Service Levels.

 

ACCESS TO AND USE OF LUMEN CONNECT AND ANY FEATURES ARE PROVIDED TO CUSTOMER "AS IS" AND “AS AVAILABLE.” ALL RISKS PERTAINING TO THE USE OF LUMEN CONNECT ARE ASSUMED BY CUSTOMER.

 

7.1 Damages Limitations.

 

NEITHER PARTY WILL BE LIABLE FOR ANY DAMAGES FOR LOST PROFITS, LOST REVENUES, LOSS OF GOODWILL, LOSS OF ANTICIPATED SAVINGS, LOSS OF DATA, OR COST OF PURCHASING REPLACEMENT SERVICES, OR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF THE OPERATION OF LUMEN CONNECT OR THE PERFORMANCE OR FAILURE TO PERFORM UNDER THESE TERMS.

 

7.2 Disclaimer of Warranties.

 

LUMEN MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, EITHER IN FACT OR BY OPERATION OF LAW, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE, EXCEPT THOSE EXPRESSLY SET FORTH IN THESE TERMS.

 

8. Customer Obligations.

 

All use of Lumen Connect and the Lumen network must conform to the Lumen Acceptable Use Policy (“AUP”). Customer agrees to defend Lumen, its affiliates, agents, and contractors from any and all claims, liabilities, costs, and expenses, including reasonable attorneys' fees and settlement costs, arising from or related to use or modification of Lumen Connect by Customer or Customer’s Authorized Users or any other third parties who utilize or access any part of Lumen Connect using valid credentials. Customer is responsible for all activity occurring through Lumen Connect regardless of whether such activity was authorized. Lumen may rely on valid credentials without further verification, and any action taken using them is deemed an action of Customer.

 

9. Governing Law; Amendment.

 

These Terms will be governed and construed in accordance with the laws of the State of New York, without regard to its choice of law rules. Each party will comply with all applicable laws, rules, and regulations associated respectively with Lumen’s provisioning or Customer’s use of Lumen Connect under these Terms. These Terms constitute the entire and final agreement and understanding between the parties with respect to Lumen Connect and supersedes all prior terms and conditions relating to Lumen Connect or any previous Lumen portals. Except as otherwise provided herein, these Terms may only be modified or supplemented by an instrument executed by an authorized representative of each party. No failure by either party to enforce any right(s) under these Terms will constitute a waiver of such right(s).

 

10. Relationship and Counterparts.

 

The relationship between the parties is not that of partners, agents, or joint venturers.

 

11. Assignment.

 

Neither party may assign its rights or obligations under these Terms without the prior written consent of the other party, which will not be unreasonably withheld. However, either party may assign its rights and obligations under these Terms without the consent of the other party: (1) to any subsidiary, parent, or affiliate that controls, is controlled by, or is under common control with that party; (2) pursuant to the sale or transfer of substantially all of the business or relevant assets of that party; or (3) pursuant to any financing, merger, or reorganization of that party. These Terms will apply to any permitted transferees or assignees. Any assignee of Customer must have a financial standing and creditworthiness equal to or better than Customer's.

 

12. AI Terms.

 

Lumen Connect and certain features may include artificial intelligence, machine learning, automated, or generative functionality, tools, agents, summaries, recommendations, analyses, or other outputs (“AI Features”). Customer acknowledges and agrees that Lumen may use AI Features in connection with providing, operating, supporting, analyzing, maintaining, and improving Lumen Connect and certain features, and Lumen Services.

 

Customer authorizes Lumen, its affiliates, contractors, and service providers to process Lumen Connect Data and other information submitted to, generated by, or made available through Lumen Connect as reasonably necessary to provide and support the AI Features, subject to these Terms, the applicable Underlying Agreement, the Lumen Privacy Notice, and applicable laws and regulations.

 

AI Features and any resulting outputs are provided for informational and operational assistance only. AI-generated outputs may be inaccurate, incomplete, delayed, or not tailored to Customer’s specific environment, requirements, or use case. Customer is solely responsible for reviewing and validating any AI-generated output and for making all decisions or taking any actions based on such output.

 

Lumen does not guarantee the accuracy, completeness, timeliness, reliability, availability, or fitness for any particular purpose of any AI Feature or AI generated output.AI-generated outputs do not constitute legal, security, technical, professional, or other advice and is not a representation that any issue, risk, threat, service condition, or recommended action has been fully identified, resolved, mitigated, or remediated.

 

Use of the AI Features does not modify Lumen’s obligations under these Terms or any Underlying Agreement and does not create any additional warranties, indemnities, service levels, service credits, commitments, or remedies.

 

13. General.

 

These Terms are intended solely for the benefit of Lumen and Customer, and not to benefit any other person or entity. If any of these Terms are held unenforceable, such provision will be construed as nearly as possible to reflect the original intent of the parties and the remaining terms will remain in effect. No failures by either party to enforce any right(s) under these Terms will constitute a waiver of such right(s). Any part of these Terms that should by their nature survive the termination of these Terms will so survive. Neither party will be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by a force majeure event as defined in the most recent Underlying Agreement.
